These Terms and Conditions (“Agreement”) govern the use of the payment gateway services (“Services”) provided by Gigfolioo Technologies Private Limited (“Gigfolioo”, “we”, “us”, or “our”) to clients (“Client”, “you”, or “your”) for the purpose of facilitating online transactions for IT services (“Services”). By using our Services, you agree to be bound by these Terms and Conditions.
1. Service Provision
1.1 Gigfolioo will provide the Client with access to its payment gateway platform, allowing the processing of online payments for the Client’s IT services.
1.2 The Services shall be provided in accordance with the specifications and features outlined in the service agreement between Gigfolioo and the Client.
2. Client Responsibilities
2.1 The Client shall provide accurate and up-to-date information required for the setup and operation of the payment gateway, including but not limited to business details, bank account information, and relevant documentation.
2.2 The Client shall ensure compliance with all applicable laws, regulations, and industry standards relating to online payment processing, data protection, and privacy.
2.3 The Client shall be responsible for the security of its payment gateway credentials and shall promptly notify Gigfolioo of any unauthorized access or use.
3. Fees and Payment
3.1 The Client shall pay fees for the use of the payment gateway services as per the terms specified in the service agreement.
3.2 Gigfolioo reserves the right to modify its fee structure upon providing the Client with prior notice.
3.3 All fees are non-refundable unless otherwise stated in the service agreement or required by law.
4. Service Level Agreement
4.1 Gigfolioo will use commercially reasonable efforts to ensure the availability and reliability of its payment gateway services.
4.2 Gigfolioo shall not be liable for any disruptions, delays, or outages beyond its reasonable control, including but not limited to internet connectivity issues, hardware failures, or force majeure events.
5. Data Security and Privacy
5.1 Gigfolioo shall implement reasonable security measures to protect the Client’s data and payment information from unauthorized access, use, or disclosure.
5.2 The Client acknowledges and agrees that Gigfolioo may collect and process personal data in accordance with its Privacy Policy, available on its website.
6. Intellectual Property
6.1 The Client acknowledges that all intellectual property rights in the payment gateway platform and related materials are owned by Gigfolioo or its licensors.
6.2 The Client shall not modify, reproduce, or distribute any part of the payment gateway platform without prior written consent from Gigfolioo.
7. Termination
7.1 Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to remedy such breach within thirty (30) days of receiving written notice.
7.2 Upon termination, the Client shall cease using the payment gateway services, and any outstanding fees shall become immediately due and payable.
8. Governing Law and Dispute Resolution
8.1 This Agreement shall be governed by and construed in accordance with the laws of India.
8.2 Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved amicably, it shall be submitted to arbitration in accordance with the rules of Jammu & Kashmir.
9. Miscellaneous
9.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
9.2 No waiver of any provision of this Agreement shall be deemed a waiver of any other provision or a continuing waiver of the same provision.
9.3 This Agreement may only be amended or modified in writing and signed by authorized representatives of both parties.
By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, you should not use our Services.
